Terms of Service

1. Agreement and Parties

These Terms of Service ("Terms") form a binding agreement between you ("Customer", "you") and Epic Scout Pty Ltd (ACN pending) ("Epic Scout", "we", "us"), a company registered in Victoria, Australia.

By creating an account, starting a free trial, or using any part of the Epic Scout platform, you confirm that you have read, understood, and agree to these Terms. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation.

If you do not agree to these Terms, do not use the platform.

2. The Service

Epic Scout is a white-label job aggregation platform that:

• Aggregates job listings from participating third-party job boards
• Applies AI-based relevance scoring to aggregated listings
• Delivers deduplicated job feeds via an embeddable widget, branded email digest, and API
• Allows you to present this feed under your own brand to your audience

The specific features available to you depend on your subscription plan. We reserve the right to modify features with reasonable notice.

2.1 Third-Party Data

Job listings displayed through Epic Scout are sourced from third-party job boards. We make reasonable efforts to aggregate accurate and current data, but we do not guarantee the accuracy, completeness, currency, or legality of any job listing. We are not a party to any employment relationship and accept no liability for the content of third-party listings.

2.2 AI Scoring

AI relevance scores are generated algorithmically based on your configured criteria. They are provided as an indicator only and should not be the sole basis for business decisions. Scores may change as the underlying model is updated.

3. Free Trial

Epic Scout offers a 7-day free trial. During the trial:

• No credit card is required to start
• You have access to the features included in the plan you selected
• At the end of the trial period, you will be prompted to enter payment details to continue
• If you do not subscribe, your account will be suspended and your data retained for 30 days

We may modify or discontinue free trial offers at any time.

4. Subscriptions and Billing

4.1 Plans and Pricing

Subscription plans and current pricing are listed at theepic.shop/#pricing. All prices are in Australian Dollars (AUD) and include GST where applicable.

4.2 Billing Cycle

Subscriptions are billed monthly or annually, as selected at signup. Annual subscriptions are billed upfront for the full year.

4.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will receive an email reminder before annual renewals.

4.4 Payment Processing

Payments are processed by Stripe. By providing payment details, you authorise Epic Scout (via Stripe) to charge your payment method on the applicable billing cycle. Epic Scout does not store your card details.

4.5 Failed Payments

If a payment fails, we will retry the charge and notify you by email. If payment remains unsuccessful after 7 days, your account may be suspended until payment is resolved.

4.6 Price Changes

We may change subscription prices with 30 days' written notice. Price changes take effect at your next renewal. If you do not accept a price change, you may cancel before the renewal date.

5. Cancellation and Refunds

5.1 Cancellation

You may cancel your subscription at any time from your account dashboard or by contacting hello@theepic.shop. Cancellation takes effect at the end of the current billing period. You retain access to the platform until that date.

5.2 Refunds

Monthly subscriptions: no refunds for the current month.

Annual subscriptions: if you cancel within 14 days of your annual renewal, you may request a pro-rata refund for the unused portion. Contact hello@theepic.shop to request a refund. Refunds are not available after 14 days.

Free trial periods are not eligible for refunds.

6. Acceptable Use

You agree not to use Epic Scout to:

• Violate any applicable law or regulation
• Scrape, harvest, or systematically extract job data from the platform in bulk beyond normal use
• Resell or redistribute raw job data to third parties without our written consent
• Attempt to reverse-engineer, decompile, or extract the AI scoring logic
• Introduce malicious code, conduct attacks, or interfere with the platform's operation
• Use the white-label features to deliver content that is fraudulent, misleading, or illegal
• Impersonate Epic Scout or create a service that is confusingly similar to Epic Scout
• Share your account credentials or allow unauthorised access to your account

We may suspend or terminate accounts that violate these terms without refund.

7. White-Label Use and Your Subscribers

If you use the white-label widget or email digest features to deliver content to your audience ("your subscribers"):

• You are responsible for obtaining appropriate consent from your subscribers to collect their contact information and send them communications
• You are responsible for providing your subscribers with a privacy policy and complying with the Spam Act 2003 (Cth) and the Privacy Act 1988 (Cth)
• You must not use Epic Scout to send unsolicited commercial email
• You must honour unsubscribe requests from your subscribers promptly
• Epic Scout acts as a data processor on your behalf for subscriber data; you remain the data controller

8. Intellectual Property

8.1 Our IP

Epic Scout (including the platform, software, AI models, aggregation logic, and all associated intellectual property) is owned by Epic Scout Pty Ltd. These Terms do not transfer any ownership rights to you. You receive a limited, non-exclusive, non-transferable licence to use the platform during your subscription.

8.2 Your Data

You retain ownership of your configuration data and any content you upload or create within the platform. You grant us a limited licence to process this data to deliver the service.

8.3 Feedback

If you provide feedback, suggestions, or feature requests, you grant us the right to use that feedback without restriction or compensation.

9. Confidentiality

Each party agrees to keep the other's confidential information confidential and not to disclose it to third parties without consent. This obligation survives termination of the agreement for 3 years. This clause does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

10. Warranties and Disclaimers

The platform is provided "as is" and "as available". To the extent permitted by the Australian Consumer Law (ACL), we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The platform will be uninterrupted or error-free
• Job listings will be accurate, complete, or up to date
• AI scores will meet your specific requirements
• The platform will be compatible with all browsers or devices

Nothing in these Terms excludes any consumer guarantee or right that cannot be excluded under the ACL.

11. Limitation of Liability

To the extent permitted by law, Epic Scout's total liability to you for any claim arising under or in connection with these Terms is limited to the total fees paid by you to Epic Scout in the 12 months preceding the claim.

In no event will Epic Scout be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, or loss of business opportunity, even if we have been advised of the possibility of such damages.

These limitations do not apply to liability arising from fraud, gross negligence, or any liability that cannot be limited by law under the ACL.

12. Indemnification

You agree to indemnify and hold harmless Epic Scout and its directors, employees, and agents from and against any claims, damages, losses, and costs (including legal fees) arising from: (a) your use of the platform in violation of these Terms; (b) your violation of any applicable law; or (c) your interactions with your subscribers, including any claim that your use of the white-label feature violated their rights.

13. Service Availability and Maintenance

We aim to maintain platform availability of 99% measured monthly, excluding scheduled maintenance. We will provide reasonable notice of planned downtime. Unplanned outages will be communicated via our status page or email. Credits for downtime below our availability target may be requested by contacting support — we review these on a case-by-case basis.

14. Termination

14.1 By You

You may close your account at any time. Upon closure, your access to the platform ceases at the end of the current billing period. We retain your data for 30 days after account closure, after which it is deleted (subject to legal retention requirements).

14.2 By Us

We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees, or if required by law. We may also terminate accounts with 30 days' notice for any other reason. In that case, we will provide a pro-rata refund for any prepaid period.

15. Governing Law and Disputes

These Terms are governed by the laws of Victoria, Australia. Any dispute arising from these Terms will be subject to the exclusive jurisdiction of the courts of Victoria, Australia.

Before initiating legal proceedings, the parties agree to attempt to resolve any dispute informally by contacting us at hello@theepic.shop. We will respond within 14 business days.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before the changes take effect. Your continued use of the platform after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you may cancel your subscription before they take effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Epic Scout regarding the platform and supersede all prior agreements or understandings. If any provision is found to be unenforceable, the remaining provisions continue in full force.
